Kyivstar and Uklon Sign $155.2 Million Deal — Details

Kyivstar and Uklon have officially finalized a deal worth $155.2 million, Kyivstar told Scroll.media.

  • Under the agreement, Kyivstar acquires 97% of Uklon’s corporate rights. Vitaliy Dyatlenko, one of Uklon’s co-founders, will retain the remaining 3%.
  • Despite the acquisition, Kyivstar and Uklon will continue to operate as separate businesses. Uklon’s team, led by CEO Serhiy Hryshkov, will remain in place and continue developing the company’s products and services in Ukraine and other markets.
  • As part of the agreement, 12% of the proceeds will be distributed among Uklon team members who participated in the company’s incentive program.
  • Kyivstar made the payment in Ukrainian hryvnia (UAH), and all applicable taxes on the proceeds — totaling 23%, including the military levy — will be paid to the State Budget of Ukraine.

Uklon’s corporate governance will now be overseen by a Supervisory Board chaired by Komarov. The board will include representatives from both companies, including Zoia Dronshkevych (Kyivstar’s Business Development Director), Boris Dolgushin (Kyivstar’s CFO), and Uklon co-founders Serhii Smus and Vitalii Diatlenko.
